The following terms and conditions apply to all clients purchasing products and services from Ivotiontech, regardless of whether a formal written agreement has been signed.
Quotation and Payment
Ivotiontech may provide an initial quote or estimate for a specific service or product based on the understanding of your requirements. However, the final pricing may vary if there are changes or additions to the project scope.
Acceptance of a quotation provided by Ivotiontech will be considered as acceptance of these terms and conditions.
Ivotiontech allows a period of up to 60 days from the date of project confirmation to fulfill payment obligations. Delayed payments may incur additional charges and could result in temporary suspension of services until full payment is received.
Ivotiontech reserves the right to revise the pricing of its services and products annually to align with inflation and market conditions.
Promotional coupons or offers obtained through third parties may be used only once. Multiple coupons or offers cannot be combined or applied simultaneously when availing of our services.

PowerPanel
The client assumes full responsibility for any data collected while using Ivotiontech’s products or services. The client further agrees that any data processed through Ivotiontech’s services is lawful and does not infringe upon the rights of any third party.
Personal information—such as email addresses, generated leads, and other data related to the client or the client’s website—may be stored within Ivotiontech’s systems, including its proprietary management platforms. Ivotiontech will not sell, share, or misuse client data under any circumstances.
Any licensed platform, including Ivotiontech’s proprietary control panel (e.g., PowerPanel), is intended for use solely with the domain for which it was originally developed. If the client gains access to the platform’s code, they are strictly prohibited from copying, redistributing, or using it for any purpose beyond its intended use. Any such action will be considered a breach of contract, and Ivotiontech reserves the right to terminate services and/or pursue appropriate legal action.
Website Maintenance and Support
Ivotiontech’s Maintenance and Support services include, but are not limited to, bug detection, server maintenance, server upgrades, website updates, and related technical assistance.
Any issues arising from third-party plugins, themes, or hosting environments used in the website are not covered under Ivotiontech’s standard maintenance and support agreement. Such services may incur additional charges.
Ivotiontech will make reasonable efforts to resolve any bugs or issues identified on the website. However, the client is responsible for promptly reporting any problems or irregularities they encounter.
Ivotiontech allocates a specific number of maintenance hours per month, as defined in the quotation. Unused hours are generally not carried forward to the following month, although limited flexibility may be provided at Ivotiontech’s discretion.
All products and services provided by Ivotiontech are subject to future updates and upgrades. Once a project is completed and approved, the responsibility for maintaining and updating website plugins and themes lies with the client, unless a separate maintenance and support agreement has been formally executed with Ivotiontech.
Third Party Services
Ivotiontech may include additional charges in the quotation for the setup and maintenance of third-party services such as Mailchimp, HubSpot, Google, Bing, and others. However, Ivotiontech shall not be held responsible for any non-performance, service interruptions, cancellations, or changes made by these third-party providers that may affect the continuity or quality of service.
Website Development and Design
Unless explicitly agreed that Ivotiontech will handle website content creation or uploading (which may involve additional charges), the client is responsible for providing all required materials—including but not limited to photographs, company logos, written content, and printable assets—within the agreed timeline to avoid project delays. Failure to do so may result in additional charges and/or a revision of the project delivery schedule at Ivotiontech’s discretion.
Ivotiontech is not responsible for updating plugins or themes used in CMS-based websites unless the client has opted for Ivotiontech’s maintenance and support services. Clients may request a separate quotation for such services if needed.
Where blogs, website content, images, videos, or any other materials are provided by the client, it is assumed that the content is original, owned by the client, and free from any copyright infringement.
Ivotiontech shall not be held responsible if a website becomes non-functional or develops issues over time due to obsolescence, including but not limited to outdated code, browser updates, or evolving technologies. To mitigate such risks, clients are advised to engage Ivotiontech for website redevelopment or ongoing maintenance services.
Ivotiontech does not assume responsibility for open-source platforms such as WordPress, Joomla, or other similar systems. The client is responsible for maintaining regular backups and ensuring that all third-party software remains updated.
While Ivotiontech implements industry-standard security measures, including the use of security tools and best practices, it does not guarantee complete protection against cyber threats such as hacking, viruses, or data loss. Ivotiontech shall not be held liable for any such incidents or resulting damages.
GDPR Compliance
The General Data Protection Regulation (GDPR) is mandatory for companies that directly or indirectly collect or process personal data of individuals residing in European countries. Ivotiontech does not serve as a substitute for legal advice. Clients are strongly advised to consult a qualified legal professional to ensure their website is fully compliant with GDPR requirements. Ivotiontech shall not be held liable for any loss or damages resulting from non-compliance with GDPR regulations.
SEO and Digital Marketing Terms and Conditions
Ivotiontech strives to enhance the online visibility of its clients’ websites by implementing effective SEO and digital marketing strategies aligned with current best practices, when engaged for such services. However, Ivotiontech does not guarantee specific rankings on search engines, as algorithms are continuously evolving and may impact website rankings and traffic.
Upon termination of services with Ivotiontech, it is the client’s responsibility to request all relevant business credentials, including but not limited to Gmail and YouTube accounts associated with the project. If such credentials are not requested within 30 days of service termination, Ivotiontech shall not be held responsible for any loss or inaccessibility, as it does not retain client information beyond this period.
Content Marketing
Unless otherwise agreed in writing, all newsletters, blogs, and other required content must be provided by the client within the specified timeframe. The client confirms that all submitted content—including written material, photographs, videos, and any other assets—is original and does not infringe upon any third-party copyrights.
If content creation is to be handled by Ivotiontech, the client must provide clear guidelines and any specific requirements at the time of quotation. Any additional revisions or changes requested after the content has been finalized may result in extra charges and/or delays in the project timeline.
Hosting
Ivotiontech will take all reasonable measures and make best efforts to identify and resolve any disruptions affecting the client’s website, aiming to minimize downtime. However, Ivotiontech shall not be liable to compensate for any losses incurred due to hosting downtime. This applies specifically to clients who have opted for Ivotiontech’s hosting and maintenance services.
Ivotiontech will fully support the client’s decision to migrate to another web hosting provider, provided that all outstanding dues for services rendered have been cleared.
Clients are responsible for maintaining the confidentiality and security of all login credentials and passwords. Ivotiontech shall not be held liable for any breaches, including hacks or unauthorized access to email accounts or websites. While Ivotiontech will assist in troubleshooting reported issues, additional charges may apply if the problem is not a result of any fault or omission on Ivotiontech’s part.
General Service Disclaimer
The client understands and agrees that Ivotiontech shall not be held responsible for any exclusions, bans, or restrictions imposed on the client’s website by third-party platforms at any time. Furthermore, Ivotiontech is not accountable for changes in the policies of Google or any other third-party search engines, directories, or external platforms.
Ivotiontech is committed to delivering all services and features as approved by the client. Under no circumstances shall Ivotiontech be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, revenue, data, or usage, except in cases where services have not been delivered or features have not been implemented as agreed. The total liability of Ivotiontech for any direct and proven damages shall not exceed the total fees paid by the client for the project. Any disputes or claims shall be resolved in accordance with applicable arbitration laws as mutually agreed upon by both parties.
During the term of the agreement, any modifications intended to enhance the existing plan, design, or scope will only be implemented after mutual agreement between the client and Ivotiontech. The client shall not implement any changes without prior consultation with Ivotiontech.
Ivotiontech reserves the right to showcase any work completed for the client—including design, development, SEO, and marketing—in its portfolio, unless otherwise agreed in writing.
Ivotiontech strives to provide reliable and efficient services. However, in the event of unforeseen circumstances beyond its control, such as natural disasters (including but not limited to earthquakes, floods, or other force majeure events), Ivotiontech shall not be held liable for any damage or service interruptions. While Ivotiontech will make reasonable efforts to assist in data recovery, it does not guarantee full restoration in extreme cases.
Confidentiality the receiving party agrees not to copy, modify, reverse engineer, decompile, or create derivative works from any confidential information without prior written consent from the disclosing party.
Trade Secrets For any confidential information classified as a trade secret, the obligation of confidentiality shall remain in effect until such information no longer qualifies as a trade secret.
Copyright Clause
The source code, scripts, and CSS used in all website pages shall remain the intellectual property of Ivotiontech until full payment has been received from the client. Under no circumstances may this material be used, reproduced, or distributed without prior written consent from Ivotiontech.
The client agrees to provide content that is either original or properly licensed with permission from the relevant third party for any copyrighted material. The client further grants Ivotiontech the right to use, publish, and display such content for project-related purposes. Ivotiontech shall not be held liable for any copyright infringement arising from client-provided content, and the client accepts full responsibility for any loss or damage resulting from failure to obtain appropriate permissions.
The client agrees not to disclose, share, or make available any confidential information related to Ivotiontech—including but not limited to documents, strategies, or campaign details—to any third party, directly or indirectly, during or after the term of this agreement.
All client-provided content, including but not limited to logos, workplace images, and written materials, shall remain the property of the client. Ivotiontech will not reuse or repurpose such content without the client’s explicit consent.
Termination of Service
The client may cancel any products or services of Ivotiontech at any time by submitting a written cancellation request at least 90 days in advance. During the notice period, Ivotiontech reserves the right to remove any software, resources, or proprietary assets owned by the company, including but not limited to links, content, and associated accounts.
Breach
Ivotiontech reserves the right to suspend services provided to the client if payment is not received within the agreed timeframe. Additionally, Ivotiontech may charge interest on any outstanding amounts.
In the event that the client enters liquidation, Ivotiontech reserves the right to terminate the agreement and seek compensation for all work completed up to the date of termination.
If the client fails to make payment for services rendered, Ivotiontech may terminate the agreement, remove any company-owned equipment, software, or resources, and/or pursue appropriate legal action.
